Terms and Conditions

1. Acceptance of Terms

By accessing and using Vyapnote ("the Service"), you accept and agree to be bound by these Terms. If you do not agree, please do not use the Service.

The Service is provided by STK TECHNOLOGY SOLUTIONS PRIVATE LIMITED (GSTIN 27AAUCS6960N1Z8). Customer-facing product and invoice descriptions use the name Vyapnote.

2. Service Description

Vyapnote is a web application for goals, habits, tasks, planning, calendar, reminders, renewals, compliance tracking, and optional AI features. The Service may be offered on a subscription basis with a free trial where applicable.

3. Subscription and Pricing

3.1 Free trial

New users may be eligible for a trial period. No payment is required during an active trial unless you choose a paid plan.

3.2 Plans (India, INR)

• Personal — ₹199/month or ₹1,999/year (1 seat); includes AI uses as shown in-app
• Family — ₹149/person/month or ₹1,499/person/year (minimum 2 seats)
• Business — ₹149/person/month or ₹1,499/person/year (minimum 2 seats)

Paid checkout is offered for India (INR) via Razorpay. Prices shown in the app include applicable GST unless otherwise stated. Invoices describe Vyapnote subscriptions/top-ups; the seller is STK TECHNOLOGY SOLUTIONS PRIVATE LIMITED (GSTIN as above).

3.3 No refunds

All paid fees are non-refundable. You may cancel anytime; access continues until the end of the current paid period. Plan changes take effect on the next billing date. Downgrading to Personal requires removing extra seats first.

3.4 Foreign payers

The Service is offered primarily for India. If you pay from outside India despite this focus, you still accept these Terms under Indian law, including exclusive jurisdiction in Pune courts. Local consumer laws of your country may not apply to the fullest extent permitted. You are responsible for any taxes or duties in your country beyond what we collect in India. We may refuse renewal or require a local plan later.

4. AI uses and top-ups

Paid plans include a monthly allotment of AI uses (credits). Unused plan uses expire at the end of the billing month. Optional top-up packs expire 30 days after purchase (separate lots; oldest used first). AI uses have no cash value, are not transferable, and are not refundable.

AI output is assistive only. You are responsible for reviewing and deciding whether to apply suggestions. We may apply rate limits, suspend abuse, or refuse service for scraping, resale of access, fraud, or abusive chargebacks.

5. User Responsibilities

• Keep your account credentials confidential
• Provide accurate information when registering
• You are responsible for activity under your account
• Do not use the Service for illegal or unauthorized purposes
• Family / child accounts: a parent or guardian is responsible for minors

6. Support

Signed-in users may raise support tickets in the app (account, billing, bugs, data/privacy, and other categories). Authorised staff may access ticket and account metadata only to resolve your request. Ticket actions are audit-logged.

7. Data and Privacy (DPDP Act, 2023)

Your application data is stored securely and is accessible only to you unless you explicitly share access through family or member features. We do not sell your personal data. Processing may use subprocessors (for example OpenAI for AI features, Razorpay for payments, and our hosting provider) as described in the Privacy Policy.

7.1 Your rights

• Access: export your data from Settings (JSON).
• Erasure: request account deletion from Settings (grace period applies).
• Withdraw consent: account deletion withdraws ongoing processing of your personal data.

7.2 AI Assistant (optional)

Optional AI features require separate opt-in. When enabled, text you submit may be sent to our AI provider (OpenAI) using a platform key operated by us. Cross-border transfer may apply. Review AI output before saving. Disable AI anytime in Settings.

8. Limitation of Liability

The Service is provided "as is" without warranties of any kind. We are not liable for loss of data, service interruption, or damages arising from use of the Service to the extent permitted by law.

9. Modifications to Terms

We may modify these Terms from time to time. Continued use after changes constitutes acceptance of the updated Terms.

10. Governing Law

These Terms are governed by the laws of India. Disputes are subject to the exclusive jurisdiction of courts in Pune, India.
